1. Agreement to Terms

By accessing and using Nexus ("Services"), you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, you may not access or use the Services.

Nexus reserves the right to modify these Terms at any time. We will notify you of material changes via email or by posting an updated version on this page. Your continued use of the Services constitutes acceptance of the modified Terms.

2. Eligibility

You must be at least 18 years old and a current or prospective healthcare professional to use Nexus. By using this platform, you represent and warrant that:

  • You are of legal age to form a binding contract
  • You are a healthcare student, practitioner, or professional
  • You will use Nexus only for lawful, educational purposes
  • You have not been prohibited from using our Services

3. Permitted Use

You may use Nexus to:

  • Access drug reference materials, clinical tools, and educational content
  • Complete exam preparation and study materials
  • Use clinical calculators and diagnostic aids for learning purposes
  • Access AI-powered clinical support features
  • Download study materials and export your learning progress

4. Prohibited Use

You agree not to:

  • Use Nexus for actual patient care, diagnosis, or treatment decisions without consulting licensed healthcare providers
  • Enter, store, or transmit real patient data or Protected Health Information (PHI)
  • Sell, resell, or redistribute Nexus content or services
  • Reverse engineer, decompile, or attempt to derive the source code
  • Use automated tools to scrape, crawl, or extract content without permission
  • Violate any applicable laws, regulations, or third-party rights
  • Engage in harassment, abuse, or threatening behavior
  • Upload viruses, malware, or harmful code
  • Spam, phish, or attempt to compromise account security

5. User Content & Responsibility

Your Responsibility

You are solely responsible for any content you enter, upload, or transmit through Nexus. Do not enter real patient data, personal health information, or sensitive clinical data. All study notes and scenario data should be fictional and for educational purposes only.

Content Rights

By uploading content to Nexus, you retain all ownership rights, but grant Nexus a non-exclusive, royalty-free license to use, store, and display your content to improve our Services.

6. Subscription & Billing

Free Trial

New users receive a free trial period (specific duration varies by promotion). After the trial ends, you must provide valid payment information to continue accessing premium features.

Billing

Subscription fees are billed monthly or annually depending on your chosen plan. You authorize us to charge your payment method on a recurring basis until you cancel.

  • Billing occurs on the date you purchase or renew your subscription
  • Payment is processed by Stripe, a PCI-compliant payment processor
  • You are responsible for keeping payment information current

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months or unused portions of your subscription.

Price Changes

We may change subscription prices with 30 days' notice. You will be notified of price increases via email. If you do not accept the new price, you may cancel your subscription.

7. Intellectual Property

All content, features, and functionality of Nexus—including but not limited to text, graphics, logos, images, algorithms, and code—are the exclusive property of Nexus or its content providers and are protected by international copyright, trademark, and other intellectual property laws.

Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use Nexus for personal, educational, non-commercial purposes.

Restrictions: You may not reproduce, redistribute, or create derivative works of any Nexus content without explicit written permission.

Third-Party Content: Nexus includes content licensed from third parties (drug references, clinical guidelines, board exam questions). These materials remain subject to their original licenses and restrictions.

8. Disclaimer of Warranties

AS-IS BASIS: Nexus is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

We make no warranty that Nexus will be uninterrupted, error-free, accurate, or complete. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

Educational Content Only: All information, tools, and recommendations are for educational purposes. We do not warrant the accuracy, completeness, or appropriateness of any clinical information for real-world patient care.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Nexus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of use.

Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

ESPECIALLY: Nexus is not liable for any harm, injury, adverse patient outcomes, or medical errors resulting from use of our Services. You are solely responsible for clinical decisions made in your professional practice.

10. Indemnification

You agree to defend, indemnify, and hold harmless Nexus, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of Nexus, violation of these Terms, or infringement of any rights.

11. Termination

Nexus may terminate or suspend your account and access to Services immediately and without notice if you:

  • Violate any provision of these Terms
  • Engage in unauthorized access or use of Nexus
  • Use Nexus to harm patients or violate professional ethics
  • Transmit Protected Health Information or real patient data

Upon termination, your right to use Nexus immediately ceases. We may delete your account and data, though you may request data export within 30 days of termination.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Louisiana, United States of America, without regard to its conflict of law principles.

You agree to submit to the exclusive jurisdiction of the state and federal courts located in Louisiana for any disputes arising out of these Terms or your use of Nexus.

13. Dispute Resolution

Before filing a claim, you agree to attempt to resolve disputes informally by contacting us at support@nexus.health.

If we cannot resolve your dispute within 30 days, you may pursue legal remedies in accordance with Section 12 of these Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full effect.
